The Council Directive of 21 April 2004 on takeover bids sets forth the general principles applicable to takeover bids and clarifies certain minimum rules with respect to the procedure for a takeover bid, the obligation to make a mandatory bid in the event a minimum threshold is crossed and the majority shareholder's squeeze-out right as well as the minority shareholders' sell-out right. Furthermore, the Directive defines the authority which is competent to approve offer documents and supervise takeover bids, and provides for optional restrictions on the actions of the target company's management and on defence mechanisms. This book discusses the Takeover Directive and its implementing rules in each Member State of the European Union and the European Economic Area, providing companies and their advisors with useful insight into the legal framework and principles applicable to takeover bids in the region.

Outcomes of the State Takeover of New Orleans Schools By: Dr. Barbara Ferguson In 2005 the Louisiana education board took over 107 of New Orleans’s 120 schools due to performance scores below the state average. Most of the schools were converted to charter schools. Although this takeover was perceived by the public to be a great success, Dr. Barbara Ferguson, a product of the New Orleans public school system herself, looks at the inequalities that resulted from the takeover. While public schools were required to educate all at-risk youth, the charter schools were able to expel or remove many of them, denying opportunities to many young people. Dr. Ferguson provides recommendations for how to move forward by keeping what works and focusing on implementing policies based upon sound research on how students learn.

While Western economies generally display dispersed shareholding in listed companies, Asian economies commonly have concentrated shareholding also in publicly listed companies. The principal analysis in Comparative Takeover Regulation relates to the role of takeover regulation in different economies. In the Asian context, the nature of takeover regulation may necessitate a different approach, with greater emphasis on the mandatory bids and disclosure of substantial shareholding. The likelihood of hostile takeovers will be minimal. It is these differences among various jurisdictions that strike at the heart of Varottil and Wan's new work. Ideal for educational institutions that teach corporate law, corporate governance, and mergers and acquisitions, as well as for law firms, corporate counsel and other practitioners, Comparative Takeover Regulation provides students and scholars with brand new analysis of this increasingly important field of study.

Existing literature on the Chinese Revolution takes into account the influence of peasant society on Mao’s ideas and policies but rarely discusses a reverse effect of comparable significance: namely, how peasant cadres were affected by the urban environment into which they moved. In this detailed examination of the cultural dimension of regime change in the early years of the Revolution, James Gao looks at how rural-based cadres changed and were changed by the urban culture that they were sent to dominate. He investigates how Communist cadres at the middle and lower levels left their familiar rural environment to take over the city of Hangzhou and how they consolidated political control, established economic stability, developed institutional reforms, and created political rituals to transform the urban culture. His book analyzes the interplay between revolutionary and non-revolutionary culture with respect to the varying degrees with which they resisted and adapted to each other. It reveals the essential role of cultural identity in legitimizing the new regime and keeping its revolutionary ideal alive.

This book examines the effectiveness of corporate takeovers. The dominant ideologies of corporate takeovers include synergistic gains and its managerial disciplinary role. These dominant themes are being undermined by the challenges of costly acquisitions. The UK Takeover Code is a regulatory response to the role of managers of target companies only. Also, the regulatory framework for takeovers in the United States is largely focused on target companies. The book demonstrates that managements can influence the role of takeovers, thereby undermining its synergistic and disciplinary values. Presenting an identification and evaluation of the limits of current regulatory and judicial control over the role of management during takeovers in the UK and the US -Delaware, it will identify the relevance of institutional control as an effective mechanism for addressing the challenges of managerial influence over takeover functions. It will also identify how the role of managements can be addressed with the complementary benefit to shareholder and employee interests; thereby challenging the shareholder/ stakeholder primacy debate in corporate law, particularly in relation to takeovers. This book will be essential reading for scholars and students interested in the market for corporate control, corporate law and company law.

This book investigates stakeholders’ interests, market players, and governance models for the takeover market in the changing global economic orders. Authors from the UK, Germany, the Netherlands, Australia, and China discuss takeovers in the context of China as a rising power in the global M&A market and re-examine takeover as an efficient method for corporate competition, consolidation, and restructuring. China has come to embrace takeovers as a market practice and is seeking directions for further reforms of its law, regulatory model, and banking system in order to compete with other economic powers. Yet, China is at a very different economic development stage and has different legal and political structures. State-owned enterprises dominate the Shanghai and Shenzhen stock markets – a very different landscape from UK and European exchanges. Researchers and policy makers are currently developing options in response to needs for reform. Recently, China has also announced the opening of its financial markets to foreign ownership. This book reflects on the UK and European models and focuses on the policy choices for China to transform its capital market. The book is of interest to postgraduate students and researchers (LLM, PhD, postdocs), law and management/finance academics, and policy makers.

The term "takeover", of which the first form is mergers and acquisitions (M&A), refers to the transfer of control of a business from one group of shareholders to another. Considering the importance of this issue and the real drives behind takeovers, it has become imperative to identifying companies that are vulnerable to takeover by two types: tender offer and exchange offer. This book thus presents the legal aspects, the theoretical justifications and the empirical contributions of takeovers, and analyzes the economic and financial characteristics of targets in order to assess the probability of being acquired. An empirical approach based on two quantitative studies is then applied to the European market, which is still virgin territory in terms of academic research. Finally, acquisition probability models have been developed and they have a 72% forecast accuracy average rate of targets. Corporate Takeover Targets is aimed at students and researchers in economic and management, as well as M&A consultants.

This volume systematically investigates the role of argumentation in takeover bids. The announcement of these financial proposals triggers an argumentative situation, in which both the economic desirability and the social acceptability of the deal become argumentative issues for different classes of stakeholders (shareholders, employees, customers, etc.). The study focuses on the strategic maneuvers that corporate directors deploy in order to persuade their audiences while complying with precise regulatory requirements, designed to allow shareholders to make reasonable decisions. A conceptual reframing of takeovers as an argumentative context brings to light the different argumentative situations of friendly and hostile bids. The argumentative strategies that corporate directors adopt in the two situations are identified and analyzed on the basis of a corpus of takeover documents referring to offers launched in the UK market between 2006 and 2010. The argumentative reconstruction focuses in particular on the inferential configuration of arguments, which is accomplished by means of the Argumentum Model of Topics (AMT). This kind of analysis enables capturing the inherently argumentative processes through which information becomes a relevant starting point for investment decisions.
